Baseline is owned and operated by Noor Labs, LLC ("Noor Labs", "we", "us" or "our").
These terms are a legally binding agreement between you and Noor Labs. They govern your
use of the Baseline mobile app, this website, the text messages Baseline sends, and the
payment pages clients reach from those texts (together, "Baseline"). Wherever these terms
refer to Baseline as a party, or to Baseline's rights, obligations or liability, they mean
Noor Labs, LLC. By creating an account, using the app, or signing up for Baseline's texts,
you agree to these terms. If you do not agree, do not use Baseline.
Please read section 17. It says that disputes with Baseline are settled
by binding individual arbitration rather than in court, and that you give up the right to
bring or join a class action. You can opt out of arbitration within 30 days of first
agreeing to these terms.
1.The service
Baseline is a scheduling app for independent tennis coaches. Coaches use it to keep a
client list, schedule lessons and clinics, take notes, send lesson texts to their clients,
and, if they choose, collect lesson fees by card.
In these terms a coach is anyone with a Baseline account. A
client is someone a coach teaches, whose details the coach enters in the
app. Clients do not need an account: they hear from Baseline by text and may pay through a
link. Where a section applies only to coaches or only to clients, it says so.
Baseline is a tool. We do not provide tennis instruction, employ or recommend coaches, or
take part in the arrangement between a coach and their clients.
2.Accounts and eligibility
-
You must be at least 18 years old and able to form a binding contract to create a coach
account. Junior players take part only as clients, with the agreement of a parent or
guardian (see section 7).
- An account is for one coach. Do not share it or sign in as someone else.
-
Give us accurate information and keep it current. You are responsible for what happens
under your account and for keeping access to your sign-in email secure. Tell us at
[email protected] if you think someone
else has used it.
-
You may not use Baseline if you are barred from doing so under US law, or if we have
previously closed your account for breaking these terms.
3.Subscriptions and billing
Some or all of Baseline requires a paid subscription for coaches. The price, billing
period and what is included are shown in the app before you buy.
-
Paid through Stripe. Subscriptions are bought on a checkout page run by
Stripe, our payment processor, and charged to the card you give there. Baseline does not
see or store your card details.
-
Free month. New coaches get their first month (30 days) of Baseline
free, with no card needed. If you subscribe during it, your first charge waits until the
month ends. If the month ends without a subscription, your data stays in the app and you can still see it,
but you cannot add or change anything until you subscribe.
-
Automatic renewal. A subscription renews automatically at the end of
each monthly or yearly period, at the then-current price, and the card on file is
charged then, until you cancel.
-
Cancelling. Cancel anytime in the app, under Settings →
Subscription → Manage subscription. Cancelling stops the next renewal; you keep
access until the end of the period you have paid for. Deleting your Baseline account
cancels your subscription at once.
-
Refunds. Payments are non-refundable except where the law requires
otherwise.
-
Price changes. We may change subscription prices. We will tell you in
advance, and a new price applies from your next renewal after the notice.
-
Features. We may add, change or remove features. If we remove
something central to a paid plan, we will tell you before your next renewal.
4.Lesson payments by card
A coach may connect a Stripe account to Baseline and send clients a link to pay a lesson
fee by card. This is separate from the coach's own Baseline subscription.
-
The coach is the seller. Card payments are made directly to the coach's
own Stripe account. The coach is the merchant of record: the charge appears under their
name, the money is paid out to their bank, and refunds, chargebacks and disputes are
between the client, the coach and Stripe. Baseline never holds or receives these funds
and does not take a share of them.
-
Stripe's terms apply. Coaches who connect Stripe agree to the
Stripe Connected Account Agreement
and the Stripe Services Agreement. Stripe
decides whether to approve an account and may pause or close it under its own rules.
Card details are entered on Stripe's checkout page and are never seen or stored by
Baseline.
-
Online payment fee. By default, a client paying online is charged the
lesson price plus an "online payment fee" that covers card processing, so the coach
receives their listed price. The fee is shown as its own line before the client pays,
and it is the same whatever payment method is used. A coach can choose to absorb the fee
instead.
-
No saved cards. A card is used only for the payment the client makes
on the checkout page. It is not saved for later charges, and Baseline does not charge
late-cancellation or no-show fees.
-
Amounts. The amount on a payment link comes from the lesson price the
coach set in Baseline. If a client believes they were charged the wrong amount, they
should contact their coach first; the coach can refund through Stripe.
-
Packages. A coach may sell a package of lessons paid for up front. Each
credit in a package pays for one lesson of the kind the package is for, and Baseline
keeps count of the credits used and left. The package's terms, including whether unused
credits can be refunded, are between the client and the coach.
-
Other ways to pay. Coaches and clients may settle up any other way they
like. Baseline only records whether a lesson was paid; it is not a party to payments
made outside the app.
-
Taxes. Coaches are responsible for any taxes on the lesson fees they
collect.
5.Coaches and their clients
The coach's responsibilities
-
Coaches may enter only information about their own clients, which the client has given
them for their lessons, and must handle it lawfully. That includes getting a parent's or
guardian's agreement before entering a junior player's details.
-
Coaches are responsible for the accuracy of what they enter: session times, courts,
prices and rosters. Baseline sends reminders and payment requests based on it.
-
Coaches are independent. They are not employees, agents or partners of Baseline, and we
do not check their qualifications, certifications, insurance or background.
Prices, cancellations and refunds are the coach's
Each coach sets their own lesson prices, cancellation policy, no-show and late-cancel
rules, rain policy and refund terms. Those are an agreement between the coach and their
client. Baseline is not a party to it, does not enforce it, and is not responsible for
lessons that are cancelled, missed, moved or unsatisfactory. Questions or disputes about a
lesson, a fee or a refund go to the coach.
6.Tennis, courts and physical risk
Tennis is a physical activity with a real risk of injury, including from heat, falls, balls
and equipment. Anyone who takes part in a lesson does so at their own risk and should
consult a doctor if they have any doubt about their fitness to play.
Baseline is scheduling software. It is not present at lessons and has no control over
them. To the fullest extent the law allows, Baseline is not responsible for any injury,
illness, loss or damage that happens at or in connection with a lesson, a court or travel
to one; for the conduct of any coach, client or other person; or for the condition,
safety, availability or rules of any court.
Court names, locations and weather shown in the app come from third-party sources such as
OpenStreetMap and Open-Meteo. They may be incomplete, out of date or wrong. Check court
access and conditions yourself.
7.Text messages (SMS terms)
This section applies to Baseline's lesson texts, and to both coaches, who start them, and
clients, who receive them.
- Program
- Baseline Lesson Reminders
- Who sends it
-
Coach Baseline (Baseline), on behalf of the client's own coach. Every message names
the coach and Baseline.
- What you get
-
Reminders before a lesson you are booked into, asking you to confirm, notices when it is
moved or cancelled, and requests for the lesson fee or for a lesson package you have bought. No marketing or
promotional messages.
- How often
- Message frequency varies, typically 1 to 3 messages per booked lesson.
- Cost
- Message and data rates may apply.
- Stop or get help
-
Reply STOP to cancel at any time. Reply HELP
for help, or email [email protected].
How clients opt in
Clients sign themselves up, on their coach's booking page, and nobody else can do it for
them. A coach can't add anyone to Baseline's texts, and Baseline never texts a number to
ask for consent: the first message from Baseline's number is the confirmation in step 3,
sent only after the client has agreed and shown the number is theirs. Nobody is added by
importing a list, buying numbers or scraping them.
1
The client ticks the box when they book
Every coach has a public booking page, for example
coachbaseline.com/b/?noor-shalabi.
After picking a lesson time or a clinic, the client enters their name and mobile
number. Below those fields is an optional box, unchecked, with these words next to it
and links to these SMS terms and the Privacy Policy:
Text me about my lessons with Coach Noor. Baseline (Coach Baseline) will text reminders
to confirm your lesson, notices if it's moved or cancelled, and payment links, about
1-3 per lesson. Msg &
data rates may apply. Reply HELP for help, STOP to opt out. Not required to book.
Booking works the same with the box left empty, and an empty box means no texts from
Baseline. A parent booking for a junior player enters their own number, so the texts
go to the parent.
A coach's booking page, with the box ticked.
2
They confirm the number with a code
Ticking the box adds one step. Baseline texts a one-time code to the number entered
("Your Baseline verification code is: 482913"), and the request goes through only once
that code is typed in. So whoever ticked the box holds that phone: nobody can sign
up someone else's number. The code is the only text sent before they are signed up,
and only because they asked for it.
The code step, after Text me a code.
3
Baseline confirms they're signed up
The request is sent, the page tells them they're signed up, and Baseline's number
sends one confirmation. A number already signed up with that coach gets no second one.
Baseline
Coach Baseline: you're signed up for lesson texts from Coach Noor: reminders to
confirm your lesson, notices if it's moved or cancelled, and payment links, about
1-3 per lesson.
Msg & data rates may apply. Reply HELP for help, STOP to opt out.
Baseline keeps the number, the coach, the exact words next to the box, the time, and
the browser it came from, as the record of their consent.
What we send
These are the only kinds of message Baseline sends. The coach's first name, lesson details
and payment link are filled in automatically, and every message ends with the opt-out.

Replying YES to a reminder marks the client as confirmed for that lesson. A payment link
opens a page for that lesson's fee, or the package's price, where the client can pay by card
through Stripe, or by Venmo or Zelle when the coach takes them (see
section 4).
How to stop
Reply STOP to any message. STOPALL,
UNSUBSCRIBE, CANCEL,
END and QUIT also work. You will get one
last message confirming you have been unsubscribed, and no further messages from Baseline's
number, from any coach.
To start again, reply START. You can also ask your coach to turn
your reminders off. Doing so stops texts to your number from that coach.
Help
Reply HELP to any message for support information, or email
[email protected]. For questions about a
specific lesson, contact your coach directly.
The fine print
- Message and data rates may apply. Check your mobile plan for details.
- Message frequency varies with how many lessons you are booked into.
- Carriers are not liable for delayed or undelivered messages.
- Agreeing to texts is not a condition of booking or paying for lessons.
-
When a parent or guardian books for a junior player, the parent's own number is the one
that signs up and gets the texts, and they can reply STOP at any time.
-
Baseline's texts go only to clients who signed up for them, only about their lessons,
and never for marketing.
Privacy
No mobile information will be shared with third parties or affiliates for marketing or
promotional purposes. Text messaging originator opt-in data and consent will not be shared
with any third parties.
Phone numbers are used only to send the messages described above. See the
Privacy Policy for how Baseline handles information.
8.Acceptable use
When using Baseline you agree not to:
-
Enter anyone's phone number or details without their permission, or use Baseline to send
spam, marketing, or messages to people who are not your clients.
- Send anything unlawful, harassing, threatening, deceptive or hateful.
- Impersonate another person, coach or business.
-
Use Baseline to collect money for anything other than tennis lessons you actually
provide, or for anything Stripe prohibits.
-
Access another coach's data, probe or attack our systems, get around security or rate
limits, or reverse-engineer the app except where the law allows it.
- Scrape, copy or resell the service, or use it to build a competing product.
- Break any law, including telemarketing, privacy and consumer-protection laws.
9.Your content
Coaches own the information they put into Baseline: client details, schedules and notes.
You give us a limited permission to store, process and transmit it only as needed to run
Baseline for you, including sending the texts and payment links you ask for. We do not use
it for advertising, and we do not sell it. The
Privacy Policy explains how we handle it.
You are responsible for having the right to enter it. You are also responsible for keeping
any copies you need: Baseline is not a backup service, and deleted data cannot be
restored.
If you send us feedback or ideas, we may use them without owing you anything.
10.Our app and trademarks
Baseline, including its software, design and text, is owned by Noor Labs, LLC and is
protected by copyright, trademark and other laws. As long as you follow these terms, we
give you a personal, revocable, non-exclusive, non-transferable license to use the app on
devices you own or control. The Baseline name and logo are trademarks of Noor Labs, LLC;
please don't use them without our written permission. All rights not expressly granted in
these terms are reserved by Noor Labs, LLC.
11.Third-party services
Baseline relies on other companies to work, including Supabase (data storage and sign-in),
Twilio (text messages), Stripe (card payments), and Apple Maps, OpenStreetMap and
Open-Meteo (court and weather lookups). Your use of their services may be subject to their own terms. We are
not responsible for their services, their outages, or links to websites we don't
control.
12.Deactivating, deleting and suspension
-
Deactivating (Settings) pauses your account. Nothing is deleted, and
Baseline stops sending texts for you until you reactivate.
-
Deleting (Settings) permanently removes your account and data, as the
Privacy Policy describes. It is immediate and cannot be
undone. It cancels your Baseline subscription at once (see
section 3). A connected Stripe account belongs to you and
stays open with Stripe.
-
We may suspend or close an account, or stop sending texts from it, if it breaks these
terms, puts clients, other coaches or Baseline at risk, or if the law or a carrier
requires it. Where it is reasonable to, we will tell you first and give you a chance to
fix the problem.
-
We may discontinue Baseline. If we do, we will give reasonable notice and, where the law
requires it, refund any prepaid, unused subscription period.
-
Sections 4 through 6 and 9 through 20 continue to apply after your account ends.
13.Disclaimers
Baseline is provided "as is" and "as available". To the fullest extent the law allows, we
disclaim all warranties, express or implied, including warranties of merchantability,
fitness for a particular purpose, title and non-infringement.
We work to keep Baseline reliable, but we do not promise it will always be available,
error-free or secure, or that every text will be delivered on time. Texts can be delayed or
filtered by carriers. Do not rely on Baseline as the only way to tell a client about a
lesson that matters.
14.Limitation of liability
To the fullest extent the law allows, Noor Labs, LLC and its owners, employees and agents
will not be liable for any indirect, incidental, special, consequential or punitive
damages, or for lost profits, revenue, data or goodwill, arising out of or relating to
Baseline or these terms, even if we were told they were possible.
Our total liability for all claims arising out of or relating to Baseline or these terms
is limited to the greater of (a) the amount you paid us for Baseline in the 12 months
before the event giving rise to the claim, and (b) US $100.
Some places do not allow some of these limits, so they may not all apply to you. Nothing
in these terms limits liability that cannot be limited by law.
15.Indemnity
If a claim is brought against Baseline because of your lessons, your dealings with your
clients or coach, the content or numbers you entered, the payments you collected, or your
breach of these terms or the law, you agree to defend and compensate Noor Labs, LLC for the
resulting losses and reasonable legal costs, to the extent the law allows.
16.Governing law
These terms are governed by the laws of the State of Texas and the Federal Arbitration Act,
without regard to conflict-of-law rules. Where a dispute is not subject to arbitration,
it will be decided exclusively in the state or federal courts located in Travis County,
Texas, and you and Baseline consent to their jurisdiction.
17.Arbitration and class-action waiver
Talk to us first. Before starting a claim, email
[email protected] with your name, how to
reach you, and what the problem is and what you want. We will do the same. Both sides agree
to try in good faith to resolve it for 60 days before starting arbitration.
Binding arbitration. If it isn't resolved, you and Baseline agree that any
dispute arising out of or relating to Baseline or these terms will be settled by binding
individual arbitration, not in court. The arbitration will be run by the American
Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single
arbitrator. It may be held by video or phone or, if in person, in the county where you
live or in Travis County, Texas. Fees are paid as those rules provide. The arbitrator
decides all questions, including whether a dispute must be arbitrated, and may award the
same individual relief a court could.
Exceptions. Either side may bring an individual claim in small-claims
court instead, and either side may go to court to stop infringement or misuse of
intellectual property.
No class actions. Claims may be brought only individually, not as a
plaintiff or class member in any class, collective or representative proceeding, and the
arbitrator may not combine more than one person's claims. If this paragraph is found
unenforceable for a particular claim, that claim goes to the courts in
section 16, not to class arbitration, and the rest of this section still
applies.
You and Baseline both give up the right to a jury trial for disputes
covered by this section.
Opting out. You can opt out of this section by emailing
[email protected] within 30 days of
first agreeing to these terms, with your name, phone number or account email, and a clear
statement that you opt out of arbitration. Opting out does not affect the rest of these
terms.
Changes. If we change this section, the change will not apply to a dispute
we already knew about. You may reject a change by emailing us within 30 days of it taking
effect, in which case the previous version applies to you.
18.Apple App Store terms
If you downloaded Baseline from Apple's App Store:
-
These terms are between you and Noor Labs, LLC only, not Apple. Noor Labs, LLC, not
Apple, is solely responsible for the app and its content.
-
Your license to use the app is limited to Apple-branded devices you own or control, as
permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for the app.
-
If the app fails to conform to any applicable warranty, you may notify Apple, and Apple
will refund the purchase price, if any. To the maximum extent the law allows, Apple has
no other warranty obligation for the app, and any other claims, losses or costs from a
failure to conform to a warranty are the responsibility of Noor Labs, LLC, to the extent
these terms do not disclaim them.
-
Noor Labs, LLC, not Apple, is responsible for addressing any claims relating to the app
or your use of it, including product liability claims, claims that it fails to meet a
legal or regulatory requirement, and claims under consumer protection, privacy or
similar laws.
-
If a third party claims the app or your use of it infringes their intellectual property,
Noor Labs, LLC, not Apple, is responsible for investigating, defending, settling and
discharging that claim.
-
You confirm that you are not located in a country subject to a US government embargo or
designated as a "terrorist supporting" country, and that you are not on any US
government list of prohibited or restricted parties.
-
Questions, complaints or claims about the app go to Noor Labs, LLC at the contact
details below.
-
Apple and its subsidiaries are third-party beneficiaries of these terms and, once you
accept them, Apple may enforce them against you as a third-party beneficiary.
19.Changes to these terms
We may update these terms. The current version is always posted here with its date. If a
change is significant, we will tell coaches in the app or by email before it takes effect.
Continuing to use Baseline after a change takes effect means you accept it. Changes to
the arbitration section follow the rule in section 17.
20.General
-
These terms and the Privacy Policy are the entire agreement
between you and Noor Labs, LLC about Baseline, and replace any earlier agreement on the
same subject.
-
If any part of these terms is found unenforceable, the rest stays in effect, except as
section 17 says about the class-action waiver.
- Not enforcing a part of these terms is not a waiver of our right to do so later.
-
You may not transfer your rights under these terms without our consent. We may transfer
ours as part of a merger, acquisition or sale of Baseline.
-
Neither side is responsible for delays or failures caused by events beyond reasonable
control, such as outages of a carrier or provider.
- We may send notices to the email on your account or through the app.
